Terms and Conditions

Cubed B2B is owned and operated by ADD Designs PTY Ltd ("ADD Designs", "we", "us", or "our"). These Terms and Conditions govern access to and use of the Cubed B2B website, application, APIs, support services, and related features (the "Service").
1. Acceptance
By creating an account, accepting these Terms during signup or setup, or using the Service, you agree to these Terms. If you use Cubed B2B for an organisation, you confirm that you are authorised to accept these Terms for that organisation.
If you have a separate written agreement with ADD Designs for Cubed B2B, that agreement will apply to the extent it conflicts with these Terms.
2. The Service
Cubed B2B provides a wholesale ordering portal for suppliers and their business customers. The Service may include product catalogues, customer access controls, order management, pricing, invoices, payment workflows, shipping workflows, notifications, reporting, and integrations with services such as Xero.
The Service is not accounting, tax, legal, courier, or financial advice. You remain responsible for reviewing your own records, prices, taxes, invoices, payment settings, shipping decisions, and legal obligations.
3. Accounts and Authorised Users
You are responsible for the users you invite, the permissions you grant, the accuracy of account information, and all activity under your account. You must keep login credentials confidential and notify us promptly if you suspect unauthorised access.
4. Acceptable Use
You must use the Service lawfully and for legitimate business purposes. You must not misuse the Service, interfere with its operation, attempt unauthorised access, upload malicious code, infringe others' rights, send unlawful or abusive communications, use the Service for fraud, or work around technical or security limits.
5. Your Data and Customer Data
You keep ownership of the business data you submit to Cubed B2B. You grant ADD Designs the rights needed to host, process, transmit, back up, display, and otherwise use that data to provide, secure, support, and improve the Service.
You are responsible for having the rights, notices, permissions, and lawful grounds needed to upload and use customer, staff, supplier, order, invoice, and payment-related data in the Service.
6. Xero and Third-Party Integrations
Cubed B2B can connect to Xero and other third-party services. Your use of third-party services is governed by their own terms and policies. ADD Designs is not responsible for third-party platforms, outages, data changes, pricing, support, or decisions.
You authorise ADD Designs to send data to and receive data from connected services as needed to operate the integration. You are responsible for checking synced data and resolving any accounting, payment, or operational discrepancies.
7. Billing, Fees, and Taxes
Fees, billing cycles, payment methods, included features, and any usage-based charges are shown during signup, in the platform, or in an agreed written quote. Unless stated otherwise, fees are exclusive of taxes, bank charges, payment provider fees, and third-party service costs.
If payment fails or fees remain unpaid, we may limit, suspend, or terminate access after reasonable notice, unless immediate action is needed for security, legal, or fraud-prevention reasons.
8. Availability and Support
We work to keep Cubed B2B reliable, but the Service may be unavailable because of maintenance, outages, internet failures, provider incidents, security work, or events outside our control. Support is provided through the channels listed on our support page.
9. Intellectual Property
ADD Designs and its licensors own Cubed B2B, including the software, design, branding, documentation, and platform content we provide. These Terms do not transfer any ownership rights to you. You may not copy, reverse engineer, resell, or commercially exploit the Service except as allowed by these Terms or a written agreement with us.
10. Privacy and Security
Our handling of personal information is described in our Privacy Policy. You agree to use the Service in a way that complies with applicable privacy, data protection, direct marketing, and recordkeeping laws.
11. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, create security or legal risk, misuse the Service, or if continuing to provide the Service would expose ADD Designs, users, or third parties to harm.
After termination, we may retain limited records as required for legal, tax, security, dispute, backup, and legitimate business purposes.
12. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, error-free, or suitable for every business need.
To the maximum extent permitted by law, ADD Designs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of data, or business interruption. Our total liability for claims relating to the Service is limited to the amount you paid to ADD Designs for the Service in the three months before the event giving rise to the claim.
13. Indemnity
You agree to indemnify ADD Designs against claims, losses, damages, penalties, and reasonable costs arising from your misuse of the Service, breach of these Terms, unlawful data processing, infringement of third-party rights, or failure to comply with laws that apply to your business.
14. Changes to These Terms
We may update these Terms from time to time. The latest version will be posted on this page with an updated date. If a change is material, we will take reasonable steps to notify active account holders.
15. Governing Law
These Terms are governed by the laws of South Africa, unless a separate written agreement says otherwise. The courts of South Africa will have jurisdiction, subject to any mandatory consumer or business protection laws that apply.
